These Terms of Use (“Terms”) govern your access to and use of BharatCaller(the “Platform”), a two-sided freelance marketplace operated by MAMMOTIX TECHNOLOGIES PRIVATE LIMITED(“BharatCaller”, “we”, “us” or “our”). By creating an account, posting a job, submitting a proposal, or otherwise using the Platform, you agree to be bound by these Terms.
Please read them carefully alongside our Privacy Policy, Cancellation & Refund Policy and Customer Grievance Redressal Policy, which are incorporated into these Terms by reference.
1. Who we are and what we do
BharatCallerconnects clients who need work done with independent freelancers (“providers”) who deliver that work. Clients post jobs, providers submit proposals, an impartial AI negotiator helps both sides settle a fair rate, and payment is held and released in staged milestone installments as the engagement progresses.
BharatCaller is a facilitation platform only. The contract for services is formed directly between the client and the provider. We are not a party to that contract, do not perform the services, and do not employ providers. We provide the tools — matching, negotiation, messaging, staged payments and dispute support — that let the two sides transact with confidence.
2. Eligibility and accounts
- You must be at least 18 years old and legally competent to enter into a binding contract under the Indian Contract Act, 1872.
- You agree to provide accurate, current and complete information during registration and to keep it updated. Providers may be asked to complete identity (KYC) and payment verification before they can withdraw earnings.
- You are responsible for safeguarding your login credentials and for all activity under your account. Notify us immediately at support@bharatcaller.com if you suspect any unauthorised use.
- One person or entity may not maintain multiple accounts to evade fees, restrictions or a suspension, or to manipulate reviews or ratings.
3. Proposals and connects
Providers use “connects” to submit proposals to posted jobs. Connects are a platform utility that manages proposal volume; they are consumed when a proposal is submitted and are not, by themselves, a payment to any client or provider.
Submitting a proposal is an offer to perform the described work on the stated terms. A client is under no obligation to accept any proposal. Connects spent on submitted proposals are generally non-refundable, except where a job is found to be fraudulent or is removed by us for a policy violation — see our Cancellation & Refund Policy.
4. Engagements and AI-negotiated rates
When a client and provider agree to work together, they form an engagement. Our AI negotiator may assist both sides in arriving at a rate and scope that reflect the real work involved. The AI negotiator is a facilitation aid; the final rate, scope, milestones and delivery timeline are agreed and accepted by the client and provider, who are solely responsible for the terms they accept.
Once accepted, the agreed scope, milestones and rate govern the engagement. Changes to scope should be documented and agreed by both parties through the Platform before additional work begins.
5. Staged payments and escrow
Payments on BharatCaller are staged. Funds for a milestone are collected from the client and held by our payment partner in an escrow-style arrangement, then released to the provider as each milestone is approved. This keeps money and progress in step and protects both sides.
- Clients fund milestones in advance of the work for that milestone beginning. Funds are held until the client approves the deliverable for that milestone.
- Providers should not begin milestone work until the corresponding milestone is funded.
- Payment receipts issued for staged installments are prefixed “GLD-” and are available in your account.
- Release, holding, refund and dispute handling of milestone funds are governed by our Cancellation & Refund Policy.
Payments are processed by our third-party payment partner, which is regulated under applicable Reserve Bank of India directions. Your use of the payment service is also subject to that partner’s terms.
6. Platform fees and taxes
BharatCallercharges service fees for use of the Platform, which may include provider service fees, client processing fees and the cost of connects. The applicable fee is shown to you before you confirm the relevant action. Platform fees and connect purchases are non-refundable except as expressly stated in our Cancellation & Refund Policy.
All fees are exclusive of applicable taxes unless stated otherwise. Goods and Services Tax (GST) and any other statutory levies will be charged as required by law, and you are responsible for your own tax obligations arising from your use of the Platform.
7. Acceptable use and conduct
You agree not to:
- Circumvent the Platform by taking a contact, payment or engagement off-platform to avoid fees, verification or the protections these Terms provide.
- Post false, misleading, infringing or unlawful content, or misrepresent your identity, skills, qualifications or affiliations.
- Manipulate reviews, ratings, Job Success Scores or search results, including through fake accounts or coordinated activity.
- Harass, threaten, discriminate against or defraud any other user, or transmit malware or attempt to disrupt the Platform.
- Use the Platform for any purpose that is illegal under the laws of India or that violates the rights of any third party.
8. Your content and intellectual property
You retain ownership of the content you submit — job briefs, proposals, messages, deliverables and profile information. You grant BharatCaller a non-exclusive, worldwide, royalty-free licence to host, store, display and transmit that content solely to operate and improve the Platform.
Ownership of work product delivered under an engagement passes between client and provider as agreed by them, and typically on full payment for the relevant milestone. The BharatCaller name, logo and the Platform software remain our property and may not be used without our written permission.
9. Disputes between users
Because the service contract is between client and provider, disputes about scope, quality or delivery are primarily between those parties. Where a milestone is in dispute, either party may raise it through the Platform. We may hold the disputed milestone funds while the parties attempt to resolve the matter, and may assist by reviewing engagement records, messages and deliverables. Any resolution we facilitate is limited to the funds held for the disputed milestone.
10. Disclaimers and limitation of liability
The Platform is provided on an “as is” and “as available” basis. We do not guarantee the quality, timeliness or legality of services delivered by providers, or the conduct or solvency of any user. To the maximum extent permitted by law, MAMMOTIX TECHNOLOGIES PRIVATE LIMITED shall not be liable for any indirect, incidental or consequential loss arising from your use of the Platform, and our aggregate liability to you shall not exceed the total fees you paid to us in the three months preceding the event giving rise to the claim.
Nothing in these Terms limits any liability that cannot be limited under applicable Indian law.
11. Suspension and termination
You may close your account at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the Platform or its users. On termination, milestones already in progress and any funds held are settled in accordance with our Cancellation & Refund Policy, and provisions that by their nature should survive (including fees owed, IP, disclaimers and dispute terms) continue to apply.
12. Changes to these Terms
We may update these Terms from time to time. When we do, we will revise the “Last updated” date above and, for material changes, take reasonable steps to notify you. Your continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.
13. Governing law and jurisdiction
These Terms are governed by the laws of India. Subject to our Customer Grievance Redressal Policy, the courts at Bangalore, Karnataka shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Platform.
